By accessing or using the Service, you agree to these Terms. If you do not agree to these Terms, you must not use the Service.

1. Who may use the Service

You may use the Service only if you are legally capable of entering into a binding agreement under applicable law.

If you use the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms. In that case, "you" and "your" refer to both you as an individual and that entity.

2. Description of the Service

CVPal is a software service that allows users to submit a resume or CV and a job description, posting, or related materials in order to receive AI-assisted outputs, including tailored resume content, previews, downloadable files, or related suggestions.

The Service may be made available through:

  • cvpal.ai and related websites;
  • branded pages or subdomains;
  • embedded widgets or other third-party websites.

We may modify, improve, suspend, or discontinue any part of the Service at any time, with or without notice, to the extent permitted by applicable law.

3. No professional, employment, or outcome guarantee

The Service is provided as a software tool only.

We do not guarantee that:

  • any output generated by the Service will be accurate, complete, or suitable for your purposes;
  • any resume, CV, or document generated by the Service will improve your employment prospects;
  • any application will be successful;
  • any employer, recruiter, or third party will respond to you;
  • any suggestion, match, or recommendation made by the Service will be relevant or correct.

You are solely responsible for reviewing, editing, verifying, and approving any generated output before relying on it, sharing it, or submitting it to any third party.

The Service does not constitute legal advice, employment advice, recruitment advice, or professional consulting.

4. User content

You may submit content to the Service, including but not limited to resumes, CVs, files, pasted text, job descriptions, job posting URLs, contact details, and other information or materials ("User Content").

You retain ownership of your User Content, subject to the rights granted in these Terms.

You represent and warrant that:

  • you own or control the necessary rights to provide the User Content;
  • the User Content is accurate to the best of your knowledge;
  • the User Content does not violate any applicable law, regulation, contract, or third-party right;
  • the User Content does not contain malicious code, unlawful content, or material intended to disrupt, exploit, or manipulate the Service.

5. License to use User Content

By submitting User Content, you grant SIA IThesion a non-exclusive, worldwide, revocable, royalty-free license to host, store, reproduce, process, transform, display, transmit, and otherwise use that User Content as necessary to:

  • operate and provide the Service;
  • generate requested outputs;
  • render previews and downloadable files;
  • maintain security, logs, abuse prevention, and compliance records;
  • troubleshoot, analyze, improve, and support the Service;
  • comply with legal obligations and enforce these Terms.

This license lasts only for as long as reasonably necessary for those purposes, subject to our Privacy Policy and applicable law.

6. AI-generated outputs

The Service uses automated systems, including artificial intelligence and rule-based processing, to parse, normalize, compare, structure, rewrite, and generate content.

You acknowledge and agree that:

  • generated outputs may contain errors, omissions, inaccurate interpretations, or formatting issues;
  • generated outputs may not reflect all relevant experience, qualifications, or context;
  • automated suggestions and matches may be incomplete, irrelevant, or incorrect;
  • you must independently review all outputs before use.

You must not rely on the Service as the sole basis for important personal, employment, legal, or business decisions.

7. Acceptable use

You must not use the Service in any manner that is unlawful, harmful, fraudulent, abusive, or intended to interfere with the operation of the Service.

Without limitation, you must not:

  • upload malware, viruses, or malicious files;
  • interfere with, disrupt, or overload the Service or related infrastructure;
  • bypass or attempt to bypass security measures, rate limits, or access restrictions;
  • use automated tools to generate excessive load, spam submissions, or abuse the Service;
  • submit false, misleading, defamatory, harassing, discriminatory, or unlawful content;
  • impersonate another person or misrepresent your identity, qualifications, or authority;
  • use the Service to probe, manipulate, or attack models, prompts, or internal logic;
  • reverse engineer, decompile, scrape, or copy the Service except to the extent such restriction is prohibited by law.

We may investigate violations of these Terms and may suspend, restrict, or terminate access to the Service at our discretion.

8. Availability and changes

We aim to provide a reliable Service, but we do not guarantee uninterrupted availability, error-free operation, or compatibility with all browsers, devices, networks, or third-party environments.

The Service may change over time. Features may be added, modified, limited, or removed. Some features may be experimental, conditional, or available only in certain contexts.

9. Third-party services and content

The Service may rely on, integrate with, or link to third-party services, websites, hosting providers, storage providers, analytics tools, email providers, job posting pages, or other external resources.

We are not responsible for the availability, accuracy, legality, security, or practices of any third-party service or content. Your use of third-party services may be subject to their own terms and privacy policies.

10. Intellectual property

The Service, including its software, design, workflows, branding, text, graphics, logos, and underlying technology, is owned by SIA IThesion or its licensors and is protected by intellectual property and other applicable laws.

Except as expressly permitted in these Terms, you may not copy, reproduce, modify, distribute, sell, sublicense, lease, create derivative works from, or exploit any part of the Service.

CVPal and related names, marks, and logos are the property of SIA IThesion or its licensors. These Terms do not grant you any right to use them except as necessary for normal use of the Service.

11. Privacy

Our collection and use of personal data are described in our Privacy Policy and, where applicable, our Cookie Policy.

By using the Service, you acknowledge that personal data may be processed in accordance with those policies.

12. Suspension and termination

We may suspend, restrict, or terminate your access to the Service immediately if:

  • you violate these Terms;
  • we reasonably believe your use creates legal, security, operational, or reputational risk;
  • we are required to do so by law or regulatory request;
  • we discontinue the relevant part of the Service.

You may stop using the Service at any time.

Any provision of these Terms that by its nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, liability, indemnity, governing law, and dispute resolution.

13. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.

We disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, security, or reliability.

Nothing in these Terms excludes or limits any right or protection that cannot be lawfully excluded under applicable law.

14. Limitation of liability

To the maximum extent permitted by applicable law, SIA IThesion and its directors, officers, employees, affiliates, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or reputation, arising out of or related to your use of, or inability to use, the Service.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:

  1. the amount you paid us, if any, for the Service during the 12 months preceding the event giving rise to the claim; or
  2. EUR 100.

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

15. Indemnity

If you use the Service on behalf of a business, organization, or other legal entity, you agree to defend, indemnify, and hold harmless SIA IThesion and its affiliates, directors, officers, employees, contractors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your User Content;
  • your misuse of the Service;
  • your violation of these Terms;
  • your violation of applicable law or third-party rights.

16. Changes to these Terms

We may update these Terms from time to time.

If we do, we will post the updated version and revise the "Last updated" date. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms, except where applicable law requires a different process.

17. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Latvia, without regard to conflict of laws principles.

The courts of Latvia shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where mandatory consumer protection law provides otherwise.

If you are a consumer, you may have additional rights under the mandatory laws of your country of residence.

18. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, restructuring, or sale of assets.

These Terms, together with our Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and us regarding the Service.
